What is an IOU?

An IOU (I Owe You) is an informal written document or agreement between two parties to a transaction that clarifies that one party owes the other, and is considered an acknowledgment of debt or a promise to pay.

An IOU is defined as any document that explicitly states and acknowledges the existence of an outstanding debt between two parties, which is implicitly recorded in the document. IOUs are among the most important documents in financial agreements, as they clarify the relationship between two parties regarding debts that must be repaid by the other party, whether they are individuals or business entities. However, they are not legally binding documents; rather, they serve as reminders and do not, in fact, carry binding contractual value. Debt instruments can be issued for any type of debt and may take the form of a verbal agreement between the parties, specifying the debt amount, repayment mechanism, and timeframe as agreed upon by both parties.

The concept of a debt note in cryptocurrency transactions

In the world of cryptocurrencies and decentralized finance, debt notes are a digital representation of a future asset. They are temporary tokens issued by a cryptocurrency exchange to represent ownership of a cryptocurrency asset that has not yet been fully released or is temporarily unavailable. Unlike traditional IOUs, which are often merely a written promise, crypto IOUs are recorded in centralized or decentralized ledgers, making them tradable before the cryptocurrency is delivered or officially issued. Once the asset becomes available, the IOU is converted into the actual crypto asset. Debt securities are used in decentralized finance (DeFi) to provide liquidity for assets prior to their official launch by trading these assets as IOU tokens, and to raise funds for projects that have not yet been launched.
