Please read this Risk Disclosure carefully. As Rain Kripto Varlık Alım Satım Platformu A.Ş. (“Rain Turkiye”), we would like to explain to you the general and specific risks associated with trading and investing in Cyrpto Assets through the use of Rain Turkiye’s products and services that you may request access.

Trading and/or investing in Cyrpto Assets is speculative and complex in nature and associated with various financial risks. Using Cyrpto Assets and any related networks and protocols also involves cyber risks. You should only use, trade and/or invest in Cyrpto Assets if you are willing to assume such risks. As with any asset, the value of Cyrpto Assets can increase or decrease at any moment, and there can be a risk that you lose money/damage buying, selling, holding or investing in Cyrpto Assets. It is the responsibility of User’s/Customer’s to learn about all the risks involved with Cyrpto Assets and any related protocols and networks. You should consult with your financial, legal, or tax advisors regarding your specific circumstance and financial condition and carefully consider whether trading or holding Cyrpto Assets, or your usage of our products and services is suitable for you. Crypto assets have their own risks, and as a result of these transactions, you may make profit or may as well incur losses as a result of your trading transactions in the crypto markets.

Rain Turkiye does not provide any investment advice, nor does it make legal, tax, or any other sort of advice. No content on the Rain Turkiye, website or social media platforms should be construed as advice. Information may be included on Rain Turkiye’s website or social media platforms in the form of blog posts, articles, links to third-party content, news feeds, tutorials, and videos. Rain Turkiye, is not making any recommendations to make a specific investment, trade, or to use any specific investment strategy. Rain Turkiye does not provide any investment advice, nor does it make legal, tax, or any other sort of advice. No content on the Rain Turkiye website or social media platforms should be construed as advice. You are solely responsible for deciding whether any investment desicion, or related transaction is appropriate for your personal investment objectives, financial circumstances and risk tolerance.

A. Please note the following general risk disclosures associated with Cyrpto Assets:

• Crypto Assets are more volatile than traditional financial instruments. Cyrpto Assets are not legal tender or backed by a government, and accounts and value balances are not subject to government protections.Regulations made by the public authorities do not imply the acceptance or approval of crypto assets as a secure financial instrument.

• Crypto assets are not subject to the investor compensation provisions regulated under Article 82 of the Capital Markets Law.

• The value of the Cyrpto Asset may be respond from the continued willingness of market participants to exchange Fiat Currencies for the Cyrpto Asset, which may result in the permanent and loss of value of a particular Cyrpto Asset should the market for that Cyrpto Asset disappear.

• The volatility and unpredictability of the price of the Cyrpto Asset relative to Fiat Currencies may result in significant loss over a short period of time.

• Cyrpto Assets may be susceptible to irrational market forces, which may result in a decrease in demand of a Cyrpto Asset without legitimate reason or evidence rapidly.

• The nature of Cyrpto Assets may lead to an increased risk of financial crime.

• The nature of Cyrpto Assets may lead to an increased risk of fraud and/or cyber-attack.

• Transfers and transactions related to crypto assets may be irreversible due to the nature of the technology used. Accordingly, there is limited or, in some cases, no or stolen Cyrpto Assets (e.g. due to accidental or fraudulent transactions). In case of a transfer of a Cryptocurrency to a different Cryptocurrency wallet but belonging to another User, Rain Turkiye shall not be held responsible, and all responsibility shall be borne by the User who carried out the incorrect transfer. Again, the user is also responsible for the incorrect transfers due to the incorrect entry of the information that must be entered during the transfer according to the technical specifications of Cryptocurrencies.

• Crypto Assets are stored digitally and may be subject to technological risks. Cyrpto Assets are being transacted and monitored via new technologies (including distributed ledger technologies). This involves various risks including, but not limited to, loss of anonymity of Cyrpto Asset holders (i.e. transactions may, depending on the nature of the Cyrpto Asset, be recorded on a public ledger); irreversibility of transactions (i.e. accidental or inaccurate transactions or cyber-attacks may lead to irrecoverability of funds); or transaction settlement failures (i.e. network congestion or hackers may prevent transactions from being completed on the network, or government authorities and regulators may ban transacting in or with Cyrpto Assets generally).

• You must protect the password and/or other information that you use to access your User Account in a secure manner.

• The nature of Cyrpto Assets also means that technological difficulties experienced by Rain Turkiye may prevent the access to or use of your Cyrpto Assets.

• You shall bear the sole responsibility to determine if the trading of Cryptocurrency or the potential appreciation or depreciation in the value of Cryptocurrency over time has tax implications for such User in his/her applicable jurisdiction. You are solely responsible for withholding, collecting, reporting, paying, and/or remitting any and all taxes to the appropriate tax authorities in such jurisdiction(s).

• Regulatory changes or actions by regulators and government authorities may adversely affect the use, transfer, exchange, and value of a Cyrpto Asset.

• You must always keep in mind that the information and advice to be provided by the crypto asset provider to you with respect to trading in the markets may be incomplete and may require verification and validation by you.

• For the transactions effected in foreign currency, in addition to the risks enumerated above, it must be known and noted that there is also an exchange rate risk, and that due to exchange rate fluctuations, there may be a loss of value in Turkish Lira, and that the governments may impose restrictions on foreign capital and foreign exchange movements, and may levy additional and/or new taxes, and that the trading transactions may not be executed on time.

• Before entering the trading transactions, you must get confirmation from your crypto asset service provider about all of the commissions and other trading fees and charges to be paid by you. 

B. Crypto Assets Market Risk: 

Market prices for Crypto Assets can be volatile and highly unpredictable. Whether the future market price for a Crypto Assets will move up or down or even sustain a market value is a speculation and unknowable. Contingent orders, such as "stop-loss" or "stop-limit" orders, if permitted at all, may not necessarily limit losses to the expressed amount, and market conditions may make it impossible to execute an order or to obtain the stop price. Rain Turkiye makes no representations or warranties about whether Crypto Assets will always continue to trade in the Crypto Assets trading market. Rain Turkiye has right to delist any Crypto Assets and to stop executing orders without prior notice in the sole discretion of Rain Turkiye.

C. Liquidity Risk: 

Markets for Crypto Assets can at times become what is known as "illiquid," which means there can be a scarcity of persons who are willing to trade at any one time. It is not possible to provide any guarantee or commitment regarding the prices at which transactions will be executed. Thinly traded or illiquid markets have potential increased risk of loss because they can experience high volatility of prices and in such markets market participants may find it impossible to liquidate market positions except at very unfavorable prices. Rain Turkiye makes no representations or warranties about that whether the markets for any Crypto Assets will be active and liquid or permit you to establish or liquidate positions in the Crypto Assets when desired or at favorable prices.

D. Legal Risk: 

The legality of Crypto Assets, trading and/or holding of them may not be clear and may vary under the laws of different jurisdictions throughout the world. This can mean that the legality of holding or trading Crypto Assets or entering into transactions, is not always clear. Whether and on what basis a Crypto Assets may constitute property, an asset, or a right of any kind and might vary from one jurisdiction to another. You are responsible for knowing and understanding how the laws applicable to you or your property rights or assets or to your address and/or nationality could be limited, regulated and taxed the Crypto Assets you trade you provide.

E. Crypto Assets Wallet Risks: 

The Crypto Assets transferred into your Crypto Assets Wallet may be commingled with the Crypto Assets of other users of the Rain Turkiye platform and with the Crypto Assets of Rain Turkiye. Transferring your Crypto Assets into your Crypto Assets Wallet exposes your Crypto Assets to risks of total loss from, among others things, security breaches from cyber attacks that hack and steal Crypto Assets, electronic or technological failures that impede or prevent market access and market performance, recordkeeping errors, and any insolvency, bankruptcy, or material financial losses of or incurred by Rain Turkiye.

F. Risk of Account Suspension and Termination: 

Rain Turkiye may freeze and/or terminate your Account in the event that you are reasonably believed to be engaged in suspicious activity or to be in breach of any of the User Agreement. If your Account is frozen and/or terminated, you will not be able to trade or to make transfers to or from your Account. This may result in the closure of your open orders without prior notice in the sole discretion of Rain Turkiye.

G. Market Default Risk: 

Rain Turkiye operates and administers the trading platform for the Crypto Assets, but Rain Turkiye is not a counterparty to any trade unless stated otherwise and has no financial responsibility or liability for any failure of market participants who are counterparty any of your trades to honor their financial obligations. There is always a risk that one or more market participants will renege, default, or otherwise fail to honor their financial obligations or will be unwilling or unable to abide by the terms of their agreements.

H. Internet Transmission Risks:

You acknowledge that there are risks associated with utilizing an Internet-based trading system including, but not limited to, the failure of hardware, software, and Internet connections. You acknowledge that Rain Turkiye shall in no event be responsible for any communication failures, disruptions, errors, distortions or delays you may experience when trading via the Services or Products, howsoever caused. Before entering into the trading, you must get information and confirmation about all of the commissions and other fees and charges to be paid by you. If the fees and charges are not expressed in monetary terms, you must request a written statement or memorandum from Rain Turkiye containing comprehensible examples showing how the said fees and charges will be reflected onto you in monetary terms.

This Risk Disclosure Statement is prepared to give information regarding the risks associated with the Crypto Assets which are defined in the User Agreement. Trading in Crypto Assets (as defined in the User Agreement) entails significant risks of financial loss. You should not commit Funds (means Digital Asset and/or Legal Tender) to trading that you are not prepared to lose entirely. You may lose your entire asset and/or funds. You may make profit or may as well incur losses as a result of your trading transactions in the Funds. That is why before deciding to enter into trading transactions hereunder, you have to understand and recognize all the risks available in the market, and to decide by considering your financial situation and your restrictions and limitations. Market prices for Crypto Assets can be volatile and highly unpredictable. Whether the future market price for a Crypto Assets will move up or down is a speculation and unknowable. You should not trade in Crypto Assets unless you understand the associated risks.

You acknowledge and declare that the transactions carried out under this agreement do not involve a consumer purpose and are conducted with a specific financial risk and trade purpose; therefore, you accept that you cannot benefit from consumer legislation provisions.

I acknowledge and accept that I have read and understood the preceding paragraphs, and without prejudice to my rights of claim and action for my losses and damages that may be caused by faults or negligence of Rain Turkiye during implementation of these principles, I have  electronically approved this “Risk Disclosure"  with my own free will and volition, and thereafter, I have approved the User Agreement.
